1. Introduction

These Terms and Conditions of Service ("Terms") govern all services provided by LIYANA LOGISTICS USA INC. ("Company," "we," "us," or "our") to its clients, whether such services are provided directly or through third-party contractors, agents, or carriers. By accessing our website or engaging our services—including but not limited to international and domestic transportation by air, sea, or land; customs clearance; warehousing; and other logistics solutions—you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

These Terms are in addition to any applicable tariffs, bills of lading, airway bills, service agreements, or other written contracts entered into between the parties.

2. Scope of Services

LIYANA LOGISTICS provides comprehensive freight forwarding and logistics services, which may include but are not limited to:

Core Logistics Services

  • International Ocean Freight (FCL & LCL)
  • International Air Freight
  • Door-to-Door Services (DDP & DDU)
  • Ex-Works (EXW) Transportation
  • Local and Domestic Trucking
  • Customs Clearance & Trade Compliance
  • Warehousing, Packaging & Distribution
  • Project Cargo and Specialized Shipments

All services are provided subject to availability and in accordance with applicable local, national, and international laws, rules, and conventions.

3. Legal Compliance

The Client agrees to comply with all applicable laws and regulations relating to the transportation, exportation, and importation of goods, including but not limited to:

  • U.S. Customs and Border Protection (CBP) regulations
  • Transportation Security Administration (TSA) rules
  • Federal Maritime Commission (FMC) regulations
  • International Air Transport Association (IATA)

Important: We reserve the right to refuse any shipment that may violate applicable law or regulations, or which we, in our sole discretion, deem to be dangerous, unethical, or illegal.

4. Quotations and Pricing

All rate quotations provided by the Company are:

  • Indicative only and subject to final confirmation
  • Based on information supplied by the Client
  • Exclusive of duties, taxes, and third-party surcharges unless otherwise specified
  • Subject to change due to fluctuations in fuel prices, currency rates, regulatory fees, or carrier-imposed charges

Any discrepancy in shipment details (e.g., weight, dimensions, commodity type) may result in rate adjustments. We reserve the right to re-invoice based on actual verified shipment details.

5. Invoicing and Payment Terms

Unless otherwise agreed in writing:

  • Payment terms are net seven (7) days from the invoice date or must before cargo departure whichever occurs first.
  • Late payments are subject to a 1.5% monthly finance charge, or the highest amount permitted by law
  • The Company reserves the right to withhold release of cargo or documentation pending full payment
  • All fees are quoted and payable in U.S. Dollars (USD) unless otherwise agreed

In the event of non-payment, the Client shall be liable for all costs of collection, including reasonable attorney's fees, court costs, and interest.

6. Cargo Insurance

LIYANA LOGISTICS USA does not provide insurance coverage unless expressly agreed to in writing. Insurance is available upon request and subject to acceptance by a licensed third-party insurer. The Client is solely responsible for ensuring that appropriate insurance coverage is in place for high-value or time-sensitive shipments.

Note: Failure to request insurance constitutes a waiver of any right to hold the Company liable beyond the standard limitations of liability outlined herein.

7. Limitations of Liability

To the fullest extent permitted by law, LIYANA LOGISTICS USA shall not be liable for:

  • Any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, delay penalties, or business interruption
  • Any act or omission by third parties, including carriers, customs authorities, warehouse providers, or agents
  • Any loss, damage, or delay caused by force majeure events (see Section 10)

Where liability is established, our liability shall be strictly limited to the lesser of:

  • Fifty U.S. Dollars (USD $50.00) per shipment, or
  • The actual documented value of the goods lost or damaged, or
  • Any applicable limitation under relevant international conventions (e.g., Hague Rules, Montreal Convention, Carmack Amendment)

8. Client Obligations

The Client agrees to:

  • Provide accurate and complete shipment information, including but not limited to: description of goods, value, dimensions, weight, origin/destination, and hazardous classification (if applicable)
  • Ensure goods are properly packaged, labeled, and documented
  • Comply with all applicable export/import requirements, including required licenses or permits
  • Promptly notify the Company in writing of any time-sensitive delivery requirements or special handling instructions

Failure to meet these obligations may result in service delays, increased costs, or legal liability, for which the Client shall bear full responsibility.

9. Use of Website

Access to and use of the LIYANA LOGISTICS USA website is subject to the following terms:

  • All content, including logos, trademarks, text, graphics, and software, is the intellectual property of LIYANA LOGISTICS USA or its licensors and may not be used without express written consent
  • Unauthorized access, modification, or disruption of website functionality is strictly prohibited
  • The Company makes no warranties or representations regarding the accuracy, reliability, or availability of the website

10. Force Majeure

LIYANA LOGISTICS USA shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, weather conditions
  • War, terrorism, civil unrest, or sabotage
  • Strikes, labor disputes, or work stoppages
  • Governmental restrictions, embargoes, or customs holds

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions.

Any disputes arising out of or related to the interpretation, performance, or enforcement of these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in New York County, New York. The Client hereby waives any objection to such venue on the grounds of inconvenient forum or lack of jurisdiction.

12. Dispute Resolution and Legal Fees

In the event of a dispute, the parties shall first attempt to resolve the matter in good faith. If resolution cannot be achieved informally, the matter may be submitted to a court of competent jurisdiction as outlined above.

The prevailing party in any legal action shall be entitled to recover its reasonable attorney's fees, court costs, and expenses incurred in connection with the dispute.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision shall be severed, and the remainder of the Terms shall remain in full force and effect.

14. Amendments and Modifications

The Company reserves the right to revise or update these Terms at any time without prior notice. Revised Terms will be posted on our website and shall take effect immediately upon publication. Continued use of our services following such updates constitutes acceptance of the modified Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, written service agreements, and shipping documents, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior or contemporaneous communications, whether oral or written.
